Welcome to CONVERSY! These Vendor Terms and Conditions (“Vendor Terms”) govern the relationship between CONVERSY and any vendor, partner, reseller, or service provider (“Vendor”) using or providing services through https://conversy.in
. By registering or working as a Vendor, you agree to comply with these Vendor Terms.
1. Acceptance of Vendor Terms
By onboarding as a Vendor with Conversy, you acknowledge that you have read, understood, and agreed to these Vendor Terms along with our general Terms & Conditions and Privacy Policy. If you do not agree, you must not continue as a Vendor.
2. Vendor Eligibility
Vendors must be at least 18 years of age
Vendors must have the legal authority to enter into a business agreement
Accurate business and identification details must be provided
3. Scope of Vendor Services
Vendors may provide services including but not limited to:
Client onboarding and support
WhatsApp marketing services
Campaign setup, automation, and management
Technical or operational assistance
The scope of services may be revised by Conversy at any time.
4. Vendor Responsibilities
Vendors agree to:
Act in a professional, ethical, and lawful manner
Comply with all applicable Indian laws and WhatsApp/Meta policies
Avoid misleading claims, spamming, or unauthorized promotions
Not misuse Conversy branding, platform, or client data
5. Client Data & Confidentiality
Vendors must keep all client and platform data strictly confidential
Sharing, selling, or misusing customer data is strictly prohibited
This obligation continues even after termination of vendor access
6. Payments & Commissions
Vendor commissions, margins, or payouts will be governed by mutually agreed terms
Conversy reserves the right to modify payout structures with prior notice
Payments once released are non-refundable, unless explicitly stated otherwise
7. Account & Access Security
Vendors are responsible for safeguarding their login credentials and access permissions. Conversy will not be liable for any loss due to unauthorized access caused by vendor negligence.
8. Intellectual Property
All software, dashboards, trademarks, logos, content, and platform features belong exclusively to CONVERSY. Vendors are granted limited, non-transferable rights to use these assets only for authorized purposes.
9. Prohibited Activities
Vendors must not:
Engage in fraud, false commitments, or deceptive practices
Violate WhatsApp, Meta, or government regulations
Represent themselves as employees or owners of Conversy
Damage the reputation or goodwill of Conversy
10. Limitation of Liability
Conversy shall not be liable for indirect, incidental, or consequential losses arising from vendor actions, client disputes, or service interruptions.
11. Termination of Vendor Relationship
Conversy reserves the right to suspend or terminate vendor access without prior notice if:
Vendor violates these Terms
Vendor engages in unethical or harmful activities
Complaints or misuse are reported
Upon termination, all rights and access will be immediately revoked.
12. Governing Law
These Vendor Terms shall be governed by and interpreted in accordance with the laws of India.
13. Changes to Vendor Terms
Conversy may update these Vendor Terms at any time. Continued association after updates constitutes acceptance of the revised terms.
